Website Terms of Use

The Agency Consulting
Effective date: October 7, 2026

These Website Terms of Use ("Terms") govern use of the website operated by The Raziel Agency, LLC d/b/a The Agency Consulting ("The Agency," "we," "us," or "our"), including website content, inquiry forms, and the free Business Growth Assessment. Our mailing address is 18631 N. 19th Ave., #158-435, Phoenix, AZ 85027.

Please read these Terms before using the website. By using the website after being given notice of these Terms, you agree to them to the extent permitted by applicable law. If you do not agree, do not use the website or submit its forms. These Terms address website use; paid services require a separate signed agreement.

1. Eligibility and authority

You must be at least 18 years old to use our forms or request or purchase services. Our website and services are intended for adults, and we do not conduct business with minors. If you act for a business or other organization, you represent that you have authority to submit information and make requests on its behalf. The website does not provide client accounts or login portals.

2. Website information and services

We provide business coaching and consulting and separate product and project management services. Website descriptions, program information, resources, and assessment responses provide general information about our services and business topics. They do not constitute an offer that can be accepted merely by browsing, submitting a form, or sending an inquiry.

We aim to keep website information accurate but may correct errors and update content, service descriptions, availability, or pricing. A signed service agreement determines the services actually purchased and the applicable commercial terms. Website updates do not amend an existing signed agreement.

3. Free Business Growth Assessment

The Business Growth Assessment is free. Submitting it allows us to review the information you provide and respond to your request. It does not obligate you to purchase services, enroll you in a paid program, or create a paid coaching, consulting, product management, or project management relationship.

The assessment is an initial business discussion tool, not a comprehensive audit, valuation, professional diagnosis, or assurance that a particular service will be offered or be suitable for you. Any response depends on the information provided and does not guarantee results.

Assessment communications are transactional email relating to your submission and request. Submission does not authorize promotional email, SMS messages, or telephone calls. Marketing permissions are separate, and shared CRM records or tags do not create permission for another brand to market to you. See our Privacy Policy for information about data handling and communication choices.

4. Separate signed service agreements and payments

Paid services begin only under a separate signed service agreement establishing the engagement. That agreement governs the scope, fees, payment schedule, cancellation or refund terms, client responsibilities, confidentiality, deliverables, and other engagement-specific rights and obligations. If these Terms conflict with that agreement on a paid-service matter, the signed agreement controls that matter.

Payments are processed outside the website through Stripe payment links that we manually send after the service agreement is signed. The assessment does not collect payment information or authorize a charge.

These Terms do not establish or authorize an installment plan, financing arrangement, finance charge, credit disclosure, cancellation right, or refund policy for paid services. Any payment arrangement must be addressed separately in the applicable signed agreement and comply with applicable law. No website description or label determines the legal classification or compliance of a payment arrangement.

5. No guaranteed results

Business outcomes depend on many factors, including your decisions, effort, resources, circumstances, market conditions, and information provided. We do not guarantee revenue, profit, growth, funding, particular project outcomes, or any other business result. Examples, testimonials, or descriptions of prior experiences do not promise that you will achieve comparable results. You remain responsible for your business decisions and implementation.

6. No legal tax accounting or investment advice

Website content, resources, and assessment responses are not legal, tax, accounting, or investment advice and do not create an attorney-client, accountant-client, investment advisory, or other regulated professional relationship. Consult your own qualified advisers about those matters. Business coaching and consulting do not replace professional advice tailored to your circumstances.

7. Intellectual property and permitted use

Website text, graphics, logos, designs, resources, and other materials are owned by The Agency or their respective licensors and are protected by applicable intellectual property laws. Subject to these Terms, you may view the website and download or print materials made available for that purpose for your own personal or internal business evaluation of our services.

Unless we give written permission or applicable law permits it, you may not reproduce, publish, sell, license, distribute, modify, or commercially exploit website materials or use our names, logos, or trademarks in a way that suggests endorsement or affiliation. Preserve ownership notices. No ownership interest or broader license is transferred by access to the website. Rights in paid-service deliverables are governed by the applicable signed agreement.

8. Information you submit

Provide accurate information and submit only information you have authority to share. Do not submit another person's confidential information, unnecessary sensitive personal information, payment-card details, or materials that infringe another person's rights.

You retain your rights in information you submit. You authorize us to receive, store, review, and use it as reasonably needed to respond to your request, administer a potential or existing engagement, and operate the website, consistent with our Privacy Policy. This authorization does not give us ownership of your business ideas or permission to publish your assessment answers as testimonials.

Submitting a form does not create a separate confidentiality agreement or professional privilege. We handle personal information as described in our Privacy Policy; any additional engagement-specific confidentiality obligations belong in a signed service agreement.

9. Acceptable use

Use the website lawfully and without interfering with its operation or other users. You may not:

  • Use the site for fraud, impersonation, harassment, unlawful discrimination, or other unlawful conduct.
  • Submit false, deceptive, abusive, infringing, or unlawful material.
  • Introduce malicious code or attempt unauthorized access to systems or information.
  • Circumvent security measures, disrupt service, or overload the website through automated requests.
  • Scrape or harvest personal information or use website forms to send spam.
  • Misrepresent an affiliation with The Agency or use its content to falsely imply endorsement.

We may restrict access, reject submissions, or take other reasonable steps to address violations, security threats, or misuse, subject to applicable law.

10. Third-party services and links

The website uses third-party technology, including FlowTrack/CloseGPT, Google Analytics, and Meta tracking. AWeber supports authorized email marketing through manually entered contacts, and Stripe processes payments separately. The site may also link to third-party resources.

Third-party services and websites are subject to their own terms and privacy policies. We do not control their independent content or operations, and a link does not necessarily imply endorsement. Their availability and performance may change. Review the applicable third-party terms before using a service or providing information. Nothing in this section excuses our own obligations under applicable law or a signed agreement.

11. Privacy

Our Privacy Policy explains the handling of assessment responses, inquiry information, cookies and tracking, providers, communications, and privacy choices. Acceptance of these Terms does not itself constitute marketing consent, consent to every tracking technology, or a waiver of privacy rights.

12. Website disclaimers

To the fullest extent permitted by applicable law, the website, general content, and free assessment are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement with respect to those website materials and functions. We do not warrant that website access will be uninterrupted, error-free, completely secure, or free of harmful components, or that general website information will meet every user's needs.

These disclaimers apply to website use and the free assessment. They do not override an express promise in a signed service agreement or any warranty, duty, or remedy that applicable law does not allow us to disclaim.

13. Limitation of liability

To the fullest extent permitted by applicable law, The Agency and its members, personnel, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost business opportunities, or loss of data, arising from website use or inability to use the website or reliance on general website content or the free assessment.

This limitation does not exclude liability for fraud, willful misconduct, gross negligence, or any liability that applicable law does not permit us to exclude. It does not limit nonwaivable privacy rights or replace the liability provisions of a signed agreement for paid services. If applicable law limits an exclusion, it applies only to the extent that law permits.

14. Responsibility for unlawful misuse

To the extent permitted by applicable law, you agree to indemnify The Agency for reasonable amounts payable to third parties and reasonable legal costs resulting from a third-party claim caused by your knowing unlawful misuse of the website or your submission of material that knowingly infringes another person's rights. This obligation applies only to the extent the claim results from your conduct and does not cover loss caused by The Agency's own negligence or misconduct.

We will give you prompt notice of such a claim, allow reasonable participation in its defense, and reasonably cooperate. No settlement may impose an admission, nonmonetary obligation, or payment obligation on you without your written consent, which will not be unreasonably withheld. This section does not create indemnity obligations for paid services beyond those in the applicable signed agreement.

15. Arizona law and dispute venue

These Terms and disputes arising from website use or the free assessment are governed by Arizona law, without applying conflict-of-law rules that would select another jurisdiction's law. Subject to any nonwaivable rights under applicable law, proceedings concerning those matters must be brought in a state court located in Maricopa County, Arizona, or, where federal jurisdiction exists, the United States District Court for the District of Arizona sitting in Phoenix. You and The Agency consent to personal jurisdiction and venue in those courts.

These Terms do not require arbitration or waive jury-trial rights. Disputes about paid services are governed by the dispute provisions of the applicable signed agreement. Nothing here overrides a mandatory legal protection or forum right that cannot lawfully be waived.

16. Changes and availability

We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively. We will provide additional notice where required, and a change does not retroactively alter an accrued claim or amend a signed service agreement. Continued website use after notice of revised Terms constitutes acceptance to the extent permitted by applicable law.

We may modify or discontinue website content or features, or temporarily suspend access for maintenance, security, or operational reasons. This does not alter obligations under an existing signed service agreement.

17. Severability and waiver

If a provision is unenforceable, it will be limited or severed to the extent necessary, and the remaining provisions will remain effective to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later. These Terms address website use only and do not replace a separate signed service agreement or nonwaivable legal rights.
